Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Coordinator, LLC ("COORDINATOR," "we," "us," or "our") and govern your access to and use of the COORDINATOR coordination workspace, including our websites, applications, APIs, and related services (collectively, the "Service"). Please read them carefully. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Eligibility & Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using the Service you represent that you meet this requirement and that any information you provide is accurate and current. When you create an account you are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. Where you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to that organization.

Description of the Service

COORDINATOR is a coordination workspace powered by integrated intelligence. The Service lets you connect external systems you already use, organize work through tasks and goals, collaborate on workspace artifacts and in shared groups, and interact with an AI layer that reads across your connected data. We may add, change, or remove features at any time.

Organizations, Teams & Roles

The Service is organized into organizations and teams. Members are assigned roles (such as owner, super-admin, admin, and member) that determine the actions they may take. Organization owners and administrators are responsible for managing membership, roles, and the data their organization stores in the Service.

Subscriptions, Billing & Payment

Certain features require a paid subscription. Fees, billing cycles, and plan limits are described at the point of purchase. Unless stated otherwise, subscriptions renew automatically at the end of each billing period until cancelled. You authorize us and our payment processor to charge your payment method for all applicable fees and taxes. Except where required by law, fees are non-refundable. We may change pricing on a prospective basis with notice; changes take effect at your next renewal.

Third-Party Integrations

The Service is designed to connect to third-party systems such as Notion, Google Drive, Slack, Discord, SharePoint, and wearable and fitness providers. Your use of those services is governed by their own terms and privacy policies. You are responsible for ensuring you have the right to connect any data source and to authorize COORDINATOR to access the data within it. We are not responsible for third-party services or for changes to their availability or behavior.

AI Features & Output

The Service includes AI capabilities that generate summaries, suggestions, drafts, and proposed actions ("Output"). Output is generated automatically and may be inaccurate, incomplete, or otherwise unsuitable for your purposes. Output, including any health, fitness, or athletic-performance feedback, is provided for informational purposes only and is not professional, medical, or coaching advice. You are responsible for reviewing Output before relying on it. AI-proposed actions that write to your connected systems are subject to human approval; you remain responsible for the actions you approve.

Output is produced by a mix of AI models, some operated by us and some operated by third-party providers we reach through a model gateway. Content relevant to your request may be transmitted to the provider serving it, and that provider's own terms govern how it handles that content. See the Privacy Policy for details on which providers are involved and what that means for your data.

Generated Images & Video

The Service can generate still images and short video clips ("Generated Media") from a prompt you provide, and in some cases from an image you supply as a reference. Generated Media is a form of Output and everything these Terms say about Output applies to it.

Generated Media is produced by third-party image and video models that we do not own, operate, train, or control. We reach those models through a model gateway, and the model serving a given request may change at any time. We do not control what those models produce for a given prompt, and we make no representation that any particular output can be produced, reproduced, or produced again. We are not responsible or liable for the content of Generated Media, including where it is inaccurate, misleading, offensive, or resembles an existing work, person, brand, or design. The provider serving a request also applies its own content rules, which may cause a request to be refused or altered for reasons outside our control.

The legal status of AI-generated material is unsettled and varies by jurisdiction. We do not claim ownership of Generated Media, and we make no representation or warranty that you own it, that it is protectable, that it is free of third-party rights, or that any particular use of it is lawful. As between you and us you may use Generated Media subject to these Terms and to the terms of the provider that generated it, but you are solely responsible for determining whether your use of Generated Media is permitted and for any consequences of that use. Do not use Generated Media where accuracy matters without verifying it independently: images of movements, techniques, positions, or equipment are illustrative and may depict something unsafe or simply wrong.

Generated Media is provided marked or labeled to indicate that it was produced by AI. You agree not to remove, crop out, obscure, or otherwise defeat that marking or labeling, and not to present Generated Media as human-made, as a photograph or recording of a real event, or as the work of any identifiable person.

Generation features are subject to usage allowances that vary by plan and that we may change. Allowances are consumed when a request is sent to a provider, including where the resulting output is not one you wanted.

Your Content

You retain all rights to the data, documents, and other materials you or your organization submit to the Service ("Customer Content"). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely as needed to provide and improve the Service and as permitted by these Terms and our Privacy Policy. You are responsible for Customer Content and for ensuring you have the rights necessary to submit it.

Acceptable Use

You agree not to:

  • violate any law or infringe the rights of others, including intellectual property and privacy rights;
  • upload malware, attempt to gain unauthorized access to the Service or its systems, or interfere with its operation;
  • reverse engineer, scrape, or resell the Service except as expressly permitted;
  • use the Service to send spam or to harass, abuse, or harm others;
  • use image or video generation to create material depicting a real, identifiable person without their consent, to imitate a real person, brand, or organization, to fabricate an event or record, or to produce sexual, violent, hateful, or otherwise unlawful content;
  • remove or obscure any AI marking or labeling on Generated Media, or represent Generated Media as human-made or as a genuine photograph or recording; or
  • use the Service to build a competing product or train a competing model.

We screen activity for prohibited content and may warn, suspend, or terminate accounts that violate these Terms.

Intellectual Property

The Service, including its software, models, design, and content (excluding Customer Content), is owned by COORDINATOR and our licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-transferable, non-exclusive right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

Confidentiality

Each party may have access to the other's confidential information. The receiving party agrees to protect such information with reasonable care and to use it only as necessary to perform under these Terms.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. Upon termination your right to use the Service ceases. Sections that by their nature should survive termination will survive.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE. WE MAKE NO WARRANTY THAT GENERATED MEDIA IS ORIGINAL, NON-INFRINGING, OWNED BY YOU, OR SUITABLE FOR ANY USE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COORDINATOR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify and hold harmless COORDINATOR and our affiliates from any claims, damages, and expenses (including reasonable legal fees) arising out of your Customer Content, your use or distribution of Output or Generated Media, your use of the Service, or your breach of these Terms.

Governing Law & Disputes

These Terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. The exclusive venue for any dispute that is not subject to arbitration will be the state and federal courts located in Oregon, and you consent to their jurisdiction.

Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
